Terms & Conditions
Effective date: Friday, 11 July 2025
1. Acceptance of Terms
By accessing spearlinks.ca or purchasing any Spear Links services, you (“Client,” “you”) agree to be bound by these Terms & Conditions and our Privacy Policy.
2. Services
We provide web/app development, UI/UX design, digital marketing, and related consulting as outlined in your project proposal or master services agreement (MSA).
3. Quotations & Payment
Quotes are valid for 30 days unless stated otherwise.
Invoices are issued in CAD; payment terms net 15 unless negotiated. Late payments may incur a 2% monthly fee.
All deliverables remain Spear Links’ property until payment is received in full.
4. Client Responsibilities
Provide timely access to content, credentials, and decision-makers.
Review and approve deliverables within agreed feedback windows.
Ensure any materials supplied do not infringe third-party rights.
5. Intellectual Property
Upon final payment, ownership of custom code, graphics, and content created for you transfers to you, excluding:
Pre-existing Spear Links libraries, frameworks, or third-party assets under separate licenses.
Our portfolio rights to showcase non-confidential elements.
6. Changes & Scope Creep
Additional features or revisions beyond scope require a mutually signed change order and may affect timelines and pricing.
7. Confidentiality
Both parties agree to keep proprietary information confidential, except where disclosure is required by law.
8. SMS & Email Communications
By supplying your phone or email, you consent to receive transactional and marketing messages related to our services. Message & data rates may apply; reply STOP to opt out.
9. Disclaimer of Warranties
Services are provided “as is” without warranties of merchantability or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation of digital assets once deployed.
10. Limitation of Liability
To the maximum extent permitted by law, Spear Links’ total liability for direct damages shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify and hold Spear Links harmless against claims arising from content you supply or your misuse of our deliverables.
12. Termination
Either party may terminate with 14 days’ written notice. You are responsible for payment of work completed up to the termination date.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be resolved in the courts of Ottawa, ON.
14. Amendments
We may update these Terms periodically. Continued use of the site/services after changes signifies acceptance.
